Partner programme terms and conditions
The rules of the programme, in plain words: who can take part, how the commission is calculated, when it is paid and what each party must declare.

1. Purpose
The Appela partner programme is offered by Soclic Group Sàrl, Rue de la Navigation 1, 1201 Genève, Suisse (“Appela”). It lets a person or a company (“the partner”) recommend Appela to businesses and receive a commission when those businesses become paying clients.
2. Sign-up
Signing up is free and without commitment. It is open to any adult and any company. The partner creates a single account with accurate information and keeps it up to date.
Appela may refuse or close an account in the event of false information, fraud or a breach of these terms.
3. Role of the partner
The partner acts fully independently: they are not an employee, agent or representative of Appela. They organise their activity freely, with no imposed targets or working hours.
They may not sign contracts, make commitments or collect money on behalf of Appela. Businesses subscribe directly with Appela, at the prices published on appela.ai.
4. Attribution of a client
A business is attributed to the partner when it signs up with the partner’s invitation link, or when the partner adds it in their partner area before its first payment.
A business can be attributed to one partner only: the first link recorded counts. A business that is already a paying Appela client cannot be attributed.
The partner may not attribute to themselves their own business, or a business they manage or own (self-referral).
5. Commission
The commission rate and duration are shown in the partner area at the time of activation and remain visible there. At the date of this version: 15% of every payment made by attributed clients, for 12 months from each client’s first payment.
The commission is calculated automatically on the amounts actually received by Appela for the client’s subscription. It is not due on a payment that is refunded, cancelled or disputed; if it has already been paid, it is deducted from later payouts.
Appela does not guarantee any income.
The rate includes all taxes: if the partner is subject to VAT, it is included in the commission and is not added to it.
6. Payout
Commissions are paid once a month, by bank transfer to the IBAN entered in the partner area: the commissions of a given month are paid no later than the 15th of the following month. There is no minimum amount.
Only a Swiss IBAN (starting with CH) is accepted. As long as no valid IBAN has been entered, the amounts remain pending.
An amount that could not be paid for 24 months, for lack of a valid IBAN or a declared company, is permanently lost to the partner.
7. Taxes, yearly cap and company
The partner alone is responsible for declaring the commissions received to the competent authorities (income tax, VAT where applicable) in their country of residence.
Payouts to a partner are limited to CHF 2,500 per calendar year, the threshold below which Swiss social insurance law (AHV/AVS) only provides for contributions on request. Commissions above this cap remain owed to the partner, but pending.
To receive more, the partner declares in their partner area the company (or registered sole proprietorship) that collects these commissions, with its company number. Appela checks in the official registers that this company exists and that the partner is listed in it as owner, partner or authorised person; the bank account must be in the name of that company. Appela may ask for supporting documents and refuse a company that does not match the partner.
Once the company is approved, the cap no longer applies: the commissions are paid to the company, which provides its VAT number if it is subject to VAT.
8. Communication rules
The partner presents Appela honestly: they promise nothing that is not on appela.ai and do not pass themselves off as Appela.
The following are prohibited: unsolicited bulk messages (spam), fake reviews, misleading advertising, buying advertising keywords containing the Appela brand, and any unlawful or disparaging content. The partner states that they are a paid partner where relevant or when asked.
The partner may use the Appela name and logo only to recommend Appela, without altering them; this right ends with their participation in the programme. They publish no disparaging or discriminatory content relating to Appela, in particular in the form of online reviews.
9. Personal data
The partner only adds a business’s e-mail address in their partner area with that business’s agreement. Of their clients, they only see the name, the status and the related commissions.
Appela processes the partner’s data (identity, e-mail, IBAN, commissions) to run the programme, in accordance with its privacy policy.
10. Fraud
In the event of fraud or attempted fraud (self-referral, fake accounts, fake clients, circumventing the attribution rules), the commissions concerned are cancelled, amounts already paid may be reclaimed and the account is closed.
11. Duration and termination
The partner may leave the programme at any time by writing to contact@appela.ai. Appela may end it at any time by e-mail.
Commissions already earned remain due. If Appela ends the programme without any breach by the partner, commissions on clients already attributed continue until the end of the agreed duration. In the event of a breach of these terms, no further commission is due from the closure of the account.
12. Changes to the terms
Appela may change the programme, the rate or these terms. The partner is informed by e-mail at least 30 days in advance. The new terms apply to clients attributed after they come into force; a partner who does not accept them may leave the programme.
13. Liability
To the extent permitted by law, Appela is only liable for direct damage caused intentionally or through gross negligence. Appela is not liable for an interruption of the service or for the partner’s loss of earnings.
14. Governing law and jurisdiction
These terms are governed by Swiss law. The place of jurisdiction is Geneva, subject to mandatory places of jurisdiction provided by law.
